Assistant Legal Manager

PURPOSE AND SCOPE
- Taking responsibilities for drafting, negotiating, structuring, interpreting, executing, and/ or administering contractual documents of In Do Trans Logistics Corporation.
- Handling all legal matter to mitigate legal risk of In Do Trans Logistics Corporation’s business and administrative activities
- Corporate with external lawyer (if any) to manage legal sues to In Do Trans Logistics Corporation as well as sue to the other.
- Manage Authorization Letter legally.
- Work with Internal & External Competent Authority for business, investment licenses
- Legally consulting that related to In Do Trans Logistics Corporation’s business and administrative activities
- Other ad hoc that related to legal matter under BOD’s orders.
 
PERFORMANCE (40%)
· Identifies business objectives of direct sales / licensing / consulting transactions, related issues, and facilitates risk/benefit analysis.
· Reviews, drafts and negotiates account agreements, consulting agreements, special licensing, non-disclosure agreements, terms and amendments for customers
· Drives contract lifecycle from drafting through completion of the negotiation process, and/or contract execution. Manages contract change control process and related correspondence requiring legal input.
· Drafts, manages, distributes, responds to, or analyzes customer terms &conditions as needed.
· Maintains a deep understanding of contract templates, contracts policy, legal risk and liability, and company position on various matters.
· Prepares contracts for internal review and approval and ensures compliance with company policies as well as applicable laws or regulations;
· Interprets contracts and advises sales / consulting managers on contractual responsibilities;
· Translates complex commercial/legal scenarios into simple language and action plans.
· May mentor and train less experienced contract professional.
· Performing various tasks related to legal matters in a company
· Providing legal advice and guidance on all kinds of legal matters
· Preparing legal letters, agreements for mergers, acquisitions etc
· Ensuring compliance of laws and regulations for all operations in an organization
· Handling lawsuits of the company, filing lawsuits in the court for the company
· Studying lawsuits filed by an individual or other business and find appropriate methods to save and ensure minimum loss to the company
 
CUSTOMER SATISFACTION (15%)
· Collaborate with internal and external parties relevant to contract creation, legal matters in a company.
· Providing legal advice and guidance on all kinds of legal matters
· Maintain professional internal and external relationships that meet company core values.
· Proactively establish and maintain effective working team relationships with all support departments.
 
OPERATION EXCELLENCE (15%)
· Oversee the company's contract management system, including coordinating intake, reporting, compliance, amendments, etc
· Maintain and update the legal team's knowledge center and other guides provided to stakeholders to ensure compliance with internal policies
 
HUMAN RESOURCE MANAGEMENT (10%)
· Ensure employees work productively and develop professionally (if any)
· Motivating & developing members to ensure the highest performance and contribution.
 
QUALIFICATIONS (including Knowledge, Education, Certificate, Flexibility, Attitude)
· A Bachelor’s law degree, however Master’s is highly preferred
· Strong knowledge about corporate laws and regulations
· Contracts management experience, including ability to draft, review, summarize and organize a variety of agreements
· Ability to facilitate meetings including preparation of agendas, presentations, meeting minutes, action items, and other meeting documentation
· High attention to detail and ability to work in a fast-paced environment
· Ability to explain contract terms to both legal and non-legal individuals
· Proficient in MS Office Suite (Word, Excel, Outlook, PowerPoint) and Adobe Acrobat
· Must have the ability to effectively communicate in English, verbally and in writing. Skills will be used to produce quality reports and thorough instructions and directions.
 
EXPERIENCE
· 5 years of experience reviewing, drafting, and negotiating contracts, legal.  
· Work experience in corporate law practice is an advantage
· Familiar with the Vietnam business and regulatory environment
